Vertical Aerospace joins the SPAC “Flying Taxi” package

The race to develop electric vertical take-off and landing aircraft (eVTOL) is on the rise, with several startups demanding to become the first mover in the air taxi industry.

Many of these companies are choosing to go public by merging with Special Purpose Acquisition Companies (SPACs) because this path to market doesn’t rely on historical financial results and allows companies to make ambitious projections.

The group includes Qell (NASDAQ: QELL), Reinvent technology partners (NYSE: RTP) and Atlas Crest investment (NYSE: ACIC), which are in the process of merging with Lilium, Joby Aviation and Archer Aviation, respectively.

Vertical Aerospace is the newest member of the eVTOL SPAC boom and announced its merger on Thursday Broadstone takeover (NYSE: BSN).

Waiting for the market launch

Founded in the UK in 2016, Vertical says the time has come for eVTOL aircraft thanks to advances in technology and improved economics. The company’s flagship is the VA-X4, which can carry 5 passengers, has a range of more than 100 miles, and can reach speeds in excess of 200 miles per hour.

Similar to Joby and Archer, the VA-X4 uses an open propeller design. In contrast, Lilium uses proprietary Ducted Electric Vectored Thrust (DEVT) technology, which enables leaner designs and obscures the propellers. Archer announced more details on its Maker aircraft this week and unveiled a new prototype at a virtual event on Thursday.

Vertical is still in the development phase and is currently not generating any sales. Deliveries are set to begin in 2024, with the company planning to deliver 50 aircraft that year for $ 192 million in revenue. Vertical predicts the units will grow to 2,000 in 2028, which would bring in $ 7.3 billion in sales.

The company has secured conditional pre-orders from major players who are also investing in the merger. American Airlines (NASDAQ: AAL) placed conditional pre-orders for up to 350 aircraft. Avolon, the world’s second largest aircraft rental company, plans to buy up to 500 aircraft, with Virgin Atlantic expressing interest in 150 vehicles. It all adds up to a potential unit sale of 1,000, which equates to $ 4 billion in revenue if Vertical can do it.

How the merger is built

The transaction gives Vertical an equity valuation of $ 2.2 billion. Broadstone has approximately $ 305 million in escrow, and SPAC has provided an additional $ 89 million for PIPE (private investment in public equity) funding. Prominent investors attending PIPE are among the prominent investors Microsoft’s (NASDAQ: MSFT) Venture Arm M12, American Airlines, Avolon, Honeywell (NASDAQ: HON) and Rolls Royce (OTC: RYCEY), among others.

After the transaction costs are paid, an estimated $ 344 million of the cash will be added to the combined company’s balance sheet. Vertical’s existing investors will retain a 72% stake, SPAC’s public shareholders will own 14% and Broadstone will transfer its existing 3% stake. Avolon will own 4%, American Airlines will own 5%, and the rest of the PIPE investors together will own 2%.

The merger is expected to close in the second half of 2021, when the ticker symbol changes to “EVTL”.

Where can you invest $ 500 now?

This is how inflation can work for you

It took nearly three decades, but it seems that inflation is finally here.

The prices of most items are rising significantly faster than before: In April, the consumer price index rose 4.2% yoy, more than double the US Federal Reserve’s long-term inflation target.

Inflation is not yet to be feared … at this point in time. However, you can be forgiven if you were scared of the talking heads on TV screaming that the dollar is doomed. After all, nobody wants to pay for bread in wheelbarrows with worthless dollars.

However, these inflation fearmakers have persistently overestimated risk for years, and the United States is extremely unlikely to ever hit bread / wheelbarrow inflation.

In fact, we’ve had the opposite problem for the past decade: too little Inflation. Since 2010, the consumer price index (CPI) has lagged behind the Fed’s inflation target of 2%. While this may sound good at first (who doesn’t want lower prices?), Deflation is an even more frightening problem.

(The risk is a deflationary spiral: when prices go down, consumers are reluctant to buy things because they think prices keep going down and they will get a better deal later, poorer and unable to buy goods, and prices keep going down For these reasons, the Fed is aiming to keep long-term inflation at 2% and why moderate inflation is good!)

Either way, inflation is just around the corner and consumers and investors should consider it in their financial affairs.

Here at Millennial Money, we believe that you should run your financial affairs like a prudent business owner, paying close attention to your balance sheet (what you owe or what you own) and monthly cash flow. These are always critical, but all the more so during an inflationary economy.

Here are five steps you can take to make inflation work for you.

1. Check your credit card interest rate

If you are a homeowner, unexpected inflation is positive in that it helps move assets from lenders to borrowers.

Conceptually, this phenomenon is easier to understand when you understand that your debts were spent in previous dollars (time of transaction) and you are repaying them in today’s dollars. Because of this, inflation – and the associated wage increases – benefit borrowers.

But inflation is not good for all borrowers. In fact, inflation is negative for borrowers of floating rate debt. This is because inflation is quickly built into the interest rate and the variable (higher) interest rate is then paid by the borrower. Interest rates are likely to rise as inflation hits, and consumers should consider fixing all debts now at fixed rates.

If you think you have no adjustable rate debt, think again. Although they seem to be fixed, many credit cards have a variable rate structure. The reason they are assumed to be fixed is because the indices on which interest rates are based have remained low.

Therefore, pay close attention to any change in terms and conditions for your credit card company. However, it is important to remember the best way to convert floating rate to fixed rate: pay them off in full, because a zero balance equals a zero rate.

And even if you have fixed rate credit cards, you won’t be over the moon as many credit card companies have sneaked in on loan terms that allow them to change the way interest rates are calculated and calculated at their own discretion, only to give you the option give to decide by closing the account.

2. Take care of your big ticket stuff

Most failing businesses have one thing in common: deferred maintenance. It is the cumulative effect of years of delays in service and underinvestment in the assets of their balance sheet. In many cases, the life of critical equipment, buildings and machinery could have been significantly extended if normal and routine maintenance had been carried out. (To quote your mother, “An ounce of prevention is worth a pound of cure.”)

Extending the functional life of your large assets and making larger purchases on your own terms is a win-win situation.

Even small updates help. According to the state website Fuel Economy, you can improve your gas mileage by up to 3% by keeping your tires properly inflated while reducing tire wear. While this will certainly not counteract the effects of significant inflation, it does help cushion gas price increases with very little effort on your part.

3. Reconsider Your “Elevation”

Have you got a raise lately? It may not help you as much as you think.

Many employers used to offer two increases a year: one based on cost of living (hello, inflation) and one based on individual and company performance. Lately, many companies only give a single, sweeping raise per year. For years the usual 3% increase was sufficient to cover inflation while providing a small performance-based increase.

But … the CPI rose 4.2% yoy in April.

So if your raise is less than the general rate of inflation (as in the 3% example above), your standard of living will go down In spite of get a higher paycheck.

It looks like this is the case with many companies that went into cash-on-hold mode last year and haven’t made any significant hikes this year while inflation is rampant.

At the same time, many companies pay high sums for new employees. The opportunity here for many workers is pretty simple: use this newfound strength to see if your skills and selling price are now worth more to new employers.

Remember, you are selling your labor, so this shouldn’t be any different from companies like Procter and Gamble, which recently raised the cost of their products due to higher inflation. In this environment it is worthwhile to explore and test the market for your talents.

4. Protect your investment portfolio

Do you remember how above-average inflation transfers assets from lenders to borrowers?

Well, if you have fixed income investments like bonds, you take on the role of the lender. Any spike in inflation and the Fed’s response (possibly interest rate hikes on new debt) will result in lower prices for existing debt in your investment portfolio.

So what can you do to add fixed income investments to your portfolio and still make some cash?

Historically, the best asset classes for an inflationary environment – in addition to stocks – treasury inflation-protected securities (TIPS), real estate and real estate investment trusts (REITs) as well as precious metals such as gold. In theory, fixed total circulation cryptocurrencies like Bitcoin should be able to act as inflation protection, but have different risk factors that make them more volatile than traditional investments.

Beware of stocks: A stock is nothing more than ownership of an underlying company. Not all companies are able to pass inflation on to their customers, for example if they operate in a highly competitive industry or are not market leaders. Previously, we wrote about three investments we liked because of inflation with a popular company that has been raising its prices for more than a decade.

5. Establish a post-pandemic budget

Many Americans were surprised to find they had extra cash during the pandemic. In addition to a few rounds of stimulus checks, there was what Goldman Sachs called “forced saving,” essentially the money Americans saved by not being able to go to the movies, vacation, or even work Had to commute (and spend $ 8 on crappy sandwiches for lunch across from the office). Even when Americans were spending money, it was often about lower-cost activities like local camping.

At the same time, Americans were spending more on stay-at-home services like streaming video and the pesky but potentially rewarding Instacart delivery fees.

  • Swap an expensive vacation for a return to a campsite (especially this summer when travel prices are affected by significant demand)

What happened to those cute Uber deals where the price of getting from here to there beats anything other than walking? The pandemic, that happened.

Stories of fares at least twice what it was last year can be found all over social media and news publications. Someone even told the New York Times that their Uber fare from Midtown Manhattan to John F. Kennedy Airport was the same as their flight to San Francisco. And he showed the $ 250 receipt to prove it.

What is Uber Pass and how can it help you save on trips?

4. Uber Pass is linked to Uber Eats

Why did Uber get so expensive?

Although unemployment has fallen from the dangerous 14.8% at the start of the pandemic (the largest in US history), businesses around the world and in all industries are still facing labor shortages.

Last year people were stuck at home wondering if Carole Baskin was feeding her husband to a tiger. But this year, fully vaccinated individuals are returning to their lives, ready for a nice meal, strong drink, and safe journey home.

Research firm Rakuten Intelligence recently reported that the cost of an Uber trip in April 2021 shot up 37% year over year.

The only problem? The ongoing staff shortage means businesses are unwilling to meet demand, from fast food chains to amusement parks to ridesharing like Uber and Lyft.

This came as quite a surprise to Uber customers, who likely got used to fast pickups and low rates prior to the pandemic. Now customers everywhere are facing longer waiting times and higher prices for an Uber trip.

For city dwellers who frequently drive Uber, this can get confusing. The same goes for people who use Uber to get them home safely from parties or bars.

The labor shortage can be permanent

According to some entrepreneurs and Wall Street experts, US employers cannot hire enough people because unemployment benefits are too high. We pay people not to work, they say.

Certainly, something People who could work milk the system. That’s sad, but is that the only reason all of these jobs are unfilled? Probably not.

Nonetheless, several governors have decided to end the federally funded extended benefits. Instead of the planned September phase-out, they will now disappear in some states as early as next week.

If there are indeed social benefits that keep people from working, then the labor shortage in the states that quit them should ease. But I think the story has even more to offer. This problem existed before these additional benefits. Rather, it’s the result of bigger trends that don’t stop. If anything, they keep getting worse.

Shrink pools

The US Chamber of Commerce has just launched a new America Works initiative. In her words …

The U.S. Chamber is advocating – and rallying the business community to urge – federal and state policy changes that will help train more Americans for sought-after jobs, remove labor barriers, and double the number of visas for legal immigrants. And the US Chamber Foundation is expanding its most impactful employer-led employee and professional training programs and starting new efforts to connect employers with undiscovered talent.

All good ideas as far as they go. But the Chamber believes there is a large pool of underutilized labor ready to fill all of these positions once some barriers fall. That is not necessarily the case.

If you compare the Department of Labor’s data on the number of available workers to the number of vacancies, there are now 1.4 available workers per position. In the opinion of the board, this is not sufficient. But notice a few things.

First, the ratio was even lower before the pandemic – around 1.0 in 2018-2019. The availability of labor is actually higher now.

Second, the rate has been falling for years. What is different now is that it has reached a point where workers and jobs are roughly in balance. No more surplus labor means that employers cannot afford the luxury of choosing from multiple candidates. This is new to them and of course some find it difficult.

The real problem with this is that we are creating fewer people.

This is an important reason why employers cannot fill vacancies. In many cases, the desired workers simply do not exist.

Clumsy robots

Companies automate more tasks, but that too has its limits. This is from a current one Wired Story of a New Jersey restaurant experience with a robot waiter named Peanut.

Robots also lack the kind of intelligence, manual dexterity, and knowledge of human nature that any good cook, host, or waiter relies on to keep their guests happy. Can Peanut talk down a customer who is angry because their eggs were fried and not stirred? Can it skillfully serve a tuna tartare and avocado tower and a nice little sauce flourish around the edges? Can a robot stop a cook who is on the sidelines because someone labeled their creations as poor quality dog ​​food? No way.

Even using a simple robot like Peanut requires some kind of negotiation between the machine and human workers. Basically: stay on your lane, robot. “They don’t come into play and they are not a good fit for us,” said Julie Carpenter, a research fellow in the Ethics and Emerging Sciences Group at California Polytechnic State University. “We’re negotiating how to get around them – they’re not smart enough to work around us. You are not cooperative. You are not collaborative. They only obey orders. “

Because of this interpersonal awkwardness, you can make strong arguments that there are some jobs that we just don’t want robots to do.

No doubt technology will improve. However, this is happening slowly and businesses need help now.

Those years of surplus labor can backfire. Managers who might pick the crop just don’t know how to deal with being on the other side. This could explain why some of the worst bottlenecks are in industries like restaurants and construction, known for insecure pay, harsh conditions and poor job security.

This is not just a US problem. The Chinese government, facing its own demographic decline, recently said couples could have three children instead of two. Other countries are also trying to encourage more births. Nobody has much success.

Falling birth rates may not be entirely voluntary. Some scientists warn of global sperm count decline due to chemicals in the environment. Others deny this idea. But whatever the reason, we stopped producing as many workers as the economy needed.

The law of supply and demand says that this scarcity makes the existing workforce more valuable and pushes them towards higher wages and better conditions.

In other words, the long-term outlook could point to an economy with better paid workers, with higher wages possibly being due to lower corporate profit margins.

According to some analysts, higher inflation is on the way. Americans will spend like crazy and prices skyrocket as the pandemic recedes.

That’s the theory. It might be right for a while, but we have other problems as well. For one thing, the pandemic is not over yet; it has become easy Optional.

Most adults in the United States can now get vaccinated. The recordings are not perfect, but they turn out to be very effective. Unfortunately, many choose to remain vulnerable. We cannot vaccinate children under 12 years of age either.

This may soon be an economically significant problem. But even if the virus goes away, we will spend years repairing the economic damage that has already been done … and more could come.

Excess deaths

Confirmed COVID-19 deaths in the US now exceed 600,000. These are people who test positive. Some wonder whether they all died “of” the virus or simply “with” it. But whatever the cause, they’re dead.

Under normal conditions, mortality at the population level is very predictable. That is why the life insurance industry works. “Excessive deaths” above the expected number mean that something unusual has happened.

This CDC chart shows all cause deaths in the United States per week since 2017. If the blue bars go above the orange line, it means that more people than expected have died this week. It happened a couple of times during the unusually bad 2017-2018 flu season.

But as of March 2020, COVID-19 resulted in excessive deaths every week for almost a year. (Note: the last few weeks may be incomplete as it takes a while to track deaths.)

Of these excessive deaths, some died directly from COVID-19 and others indirectly from lack of necessary medical care, for example. Add the extra deaths and the US appears to have lost more than a million extra people, not the 600,000 we can attach to the virus.

Human lives are an economic resource. All are producers and / or consumers. Researchers estimate that the average victim died about nine years earlier than they otherwise “should have”. That’s many years of life lost (YLL).

Cumberland Advisors’ David Kotok explained why this is important:

By the end of this calendar year, we forecast a COVID shock of approximately 10 million YLL in the United States. That’s a huge decrease in total forecast demand because these millions of people’s consumption disappears over their forecast average 9 lost years. This is a supplement to the basic projection from the life tables.

And I haven’t even brought up the issue of lost skills. The 100-year-old person who died of COVID in a nursing home counts as a COVID death, but makes little contribution to that economic estimate. The 30-year-old nurse, who died of COVID while caring for COVID patients in a hospital, makes a major contribution to the YLL and, like the 50-year-old engineer or computer scientist, is sorely missed. Likewise the truck driver or teacher. COVID has killed many highly skilled people, and it has killed many who had years to add to the workforce.

To put it bluntly, the dead cease to be active participants in the economy. It is no coincidence that war-torn nations often face depression afterwards.

Pandemics have a similar effect. These numbers are big enough to matter, especially in specific industries that depend on the groups most affected.

But that’s not the only problem.

Long distance transporter

Most people who get COVID-19 survive, but sometimes with persistent health consequences. Scientists are still trying to understand this “long COVID” state. It can be serious.

Estimates suggest COVID. down Disabilities will far exceed the number of COVID deaths. At some point we may have treatments to help them, but right now it looks like a big problem.

The evidence is growing daily that there are roughly six to eight long-distance drivers for every COVID death. This loss of health and capacity is also a demand shock. It also has an impact on the workforce’s ability to work, as it leads to increased leave of absence and disability. This also increases the demands on the healthcare system. Millions more long-haul COVID drivers will need treatment and work accommodation to continue contributing to the workforce.

Much more data needs to be collected so that we can capture both the medical needs of long-distance COVID drivers and a number that captures weeks, months, or years of work lost due to long-term COVID. but we have enough input to know that the numbers will be significant.

A civilized society cares for its disabled members, but there is a cost to doing so.

Inflation needs fuel

All of these effects are included based solely on what has already happened. If the virus reappears, they can get worse.

This is not just a US problem, either. Excessive deaths and long-term COVID happen all over the world. Countries without our benefits can suffer even more damage and take longer to recover.

So, if your investment thesis assumes a sustained global boom as the virus wanes, you might want to reconsider. Inflation takes fuel … and we’ve burned a lot of it.
